The client got audited due to an overstatement of the business expense in the prior-year tax return.

The different structures would often suit business growth at the various business stages.  However, ideally, you want to limit the potential downside risk by using the correct business structure. Normally, I would advise against using the partnership as a structure, as it has unlimited joint liability when things go wrong.

Also, it is important to understand that sometimes it is important to receive an engagement letter to you to be reviewed and signed off, as it will contain terms and conditions and a confidentiality clause to protect your best interest.
